Welcome to BRYT Digital Market. These Terms and Conditions set out the rules for accessing the marketplace, publishing vendor listings, contacting vendors and using our services. Please read them carefully before using the platform.
1. Introduction and Acceptance
BRYT Digital Market ("BRYT DGM", "the platform", "we", "us" or "our") is an online digital marketplace operated by BRYT Digital Services, registered with the Corporate Affairs Commission (CAC) under business name registration BN 9944107. BRYT Technologies is a related umbrella brand.
BRYT DGM enables independent vendors to showcase goods and services and connect with potential customers. We do not generally sell vendors' products or act as the seller in customer-vendor transactions.
These Terms and Conditions ("Terms") govern your access to and use of our website, listings, accounts and available features. By registering, accessing or continuing to use the platform after receiving appropriate notice, you agree to these Terms to the extent permitted by law.
2. Eligibility and Account Information
You must be at least 16 years old to create an account. Users who are under 18 must have any parental or guardian permission required by applicable law and must be capable of entering the relevant arrangement lawfully. Where this cannot be satisfied, the user must not register.
You agree to provide accurate, complete and up-to-date information and to keep access credentials confidential. You are responsible for account activity to the extent permitted by law and must notify us if you suspect unauthorized access.
3. Vendor Accounts and Responsibilities
Vendors must provide accurate contact and business information and are responsible for the content and accuracy of their store profiles, product descriptions, images, prices and offers.
Each vendor is independent from BRYT DGM and is responsible for customer service, delivery, fulfilment, refunds, applicable permits, legal compliance and any representations made to customers. Our publication of a listing does not mean that we have independently verified or endorsed that vendor.
4. Listings and Prohibited Products
Listings must be lawful, honest and not misleading. Vendors must have the rights needed to use any images, trademarks, descriptions or other content submitted.
The following are prohibited: stolen goods; illegal or unsafe goods or services; fraudulent or deceptive offers; infringing material; and content that is abusive, unlawful or otherwise prohibited by our published platform rules. We may moderate or remove listings that reasonably appear to breach these requirements.
5. Vendor Registration, Fees and Subscriptions
Certain vendor accounts, listing features, promotions or services may require payment. Applicable prices, duration and renewal terms will be disclosed before purchase. Unless specifically stated otherwise, a purchase does not guarantee a specified amount of traffic, inquiries, orders or sales.
Fees are generally non-refundable once the relevant service has been delivered or activated, except where a different refund term was presented at purchase, we agree otherwise, or applicable law requires a refund. We may use external payment service providers to process applicable payments.
6. Marketplace Transactions and Disputes
Unless a feature expressly states otherwise, purchases and payments for vendor goods and services are made directly between customers and the vendor. BRYT DGM is not the contracting seller and does not ordinarily handle vendor-to-customer product payment, delivery or quality assurance.
Buyers should independently verify relevant listing information and payment details. Vendors are responsible for honouring their commitments and addressing complaints. This section does not exclude any rights or responsibilities that cannot lawfully be excluded.
7. General User Responsibilities and Prohibited Conduct
When using BRYT DGM, you must act lawfully, responsibly and respectfully. You must not:
- Attempt to hack, interfere with, overload or gain unauthorized access to the website, accounts or systems.
- Use bots, crawlers, scripts, automated tools or manual bulk-copying methods to scrape, harvest or compile information from the platform contrary to these Terms.
- Send fraudulent, threatening, abusive or deceptive messages through information or connections obtained from the platform.
- Misrepresent a relationship with BRYT DGM, BRYT Digital Services or BRYT Technologies.
- Use the platform in a manner that infringes privacy, intellectual-property rights or applicable law.
These rules apply to visitors as well as registered account holders, subject to the applicable legal requirements for their enforcement.
8. Vendor Contact Details, Marketing and Third-Party Solicitation
Vendor contact information is displayed primarily to facilitate legitimate buyer inquiries and business transactions. Publication of that information is not an invitation or authorization to compile marketing databases or send unsolicited promotional campaigns.
Without appropriate authorization and a lawful basis, users, visitors and third parties must not:
- Systematically collect, extract, copy, store or compile vendor telephone numbers, WhatsApp numbers, emails or other contact information from BRYT DGM, manually or automatically, for unrelated marketing or recruitment.
- Use contacts obtained through BRYT DGM for unsolicited bulk messaging, external marketplace recruitment, advertising, lead generation or the sale or distribution of contact databases.
- Represent or imply that BRYT DGM has sponsored, endorsed, partnered with or authorized an outside platform, campaign or business unless that claim is true and approved.
- Circumvent access controls or technical measures intended to limit unauthorized collection of vendor data.
This restriction does not prevent a vendor from voluntarily joining or promoting another platform, independently consenting to communications, or engaging with a genuine customer. All third-party marketing must independently comply with applicable data-protection, communications and other laws.
We may review credible complaints and use lawful, proportionate measures available to us, including warnings, access restrictions, suspension of linked accounts and appropriate legal remedies. We do not claim exclusive ownership of vendors or their independently held contact details.
9. Intellectual Property and Vendor Content
The BRYT DGM name, platform design, software, original graphics, branding and other platform-created materials belong to, or are lawfully used by, BRYT Digital Services or relevant rights holders. You may not copy or exploit protected platform materials without authorization.
Vendors retain rights in their own product images, descriptions and branding. By uploading content, a vendor gives BRYT DGM a non-exclusive permission to host, display and reasonably promote that content as necessary to operate the marketplace, subject to the vendor's applicable rights and any later removal requests.
10. Account Restrictions and Enforcement
We may take proportionate action, including removing a listing, limiting features, suspending or terminating an account, where we reasonably believe these Terms or applicable laws have been violated, or action is needed to protect platform users or security.
Where appropriate, users may contact support to seek clarification or request review of an enforcement decision. Fees paid remain subject to the refund terms and applicable consumer rights.
11. Advertising and Promotions
Vendors are responsible for the truthfulness, legality and accuracy of any advertising or promotional material they submit. Paid promotion, featured listing or advertising services do not guarantee particular levels of traffic, engagement, sales or results.
Promotional materials must not be misleading, infringe another party's rights or suggest a BRYT DGM partnership or endorsement that does not exist.
12. Privacy and Personal Information
We collect and process personal information in accordance with our Privacy Policy and applicable data-protection law. Users must respect other individuals' privacy and must not interpret the public display of a vendor's contact information as automatic consent to unrelated marketing.
13. External Services and Links
The platform may contain links to vendor websites, payment providers and external services. We do not control those third parties and are not generally responsible for their content or independent terms. Check the provider's terms and privacy notice before engaging with them.
14. Availability and Disclaimer
We aim to provide a reliable marketplace but cannot promise uninterrupted service, constant availability of every listing or that all vendors and listings are accurate. Listings are generally supplied by independent vendors.
We do not guarantee specific sales, profit, availability, delivery time or product quality. Nothing in these Terms is intended to exclude duties or remedies that cannot legally be excluded.
15. Limitation of Liability
To the extent permitted by applicable law, BRYT DGM and its operator are not responsible for losses arising solely from independently negotiated vendor-buyer transactions, incorrect third-party listings, external-provider interruptions or events outside our reasonable control.
Nothing in this section limits liability for matters that cannot lawfully be limited or excluded, including any mandatory consumer or data-protection obligations.
16. Changes to These Terms
We may update these Terms to reflect changes in platform operations, products, security risks or legal obligations. The current version will appear on our website with an updated revision date. Material changes will be notified where required or reasonably appropriate, and renewed acceptance will be sought where legally necessary.
Updates apply prospectively from their stated effective date. They do not automatically turn earlier conduct into a breach of a rule that was not then in force.
17. Governing Law
These Terms are governed by applicable laws of the Federal Republic of Nigeria, including relevant consumer-protection and data-protection legislation.
18. Dispute Resolution
If you have a complaint about the platform, contact us first so we can attempt to resolve it. Disputes solely between buyers and independent vendors should ordinarily be raised directly with the vendor; BRYT DGM may assist where feasible but is not required to mediate every dispute.
Nothing in this section removes a party's statutory rights to contact a regulator, seek an appropriate remedy or bring proceedings before a court with jurisdiction.
19. Refunds and Cancellation
Vendors are responsible for their own store refund and cancellation policies in transactions with customers, subject to applicable law. Fees paid to BRYT DGM for platform access, listing upgrades and promotions are governed by the terms disclosed for the specific purchase and any overriding legal requirements.
An account holder may request account closure through the support contact below, subject to applicable contractual obligations and lawful record-retention requirements.
